B2B Terms of Service & Commercial Conditions

Last Updated: September 6, 2026

OVERVIEW & SCOPE

Welcome to Harvilon. Throughout this document, the terms "we", "us", and "our" refer to Harvilon Technology Co., Ltd. Harvilon operates this B2B corporate portal, digital product catalog, and transaction system, including all engineering specifications, technical tools, products, and commercial services (the "Services"). Our digital infrastructure is hosted by Shopify, facilitating business inquiries and enterprise transactions.

CRITICAL NOTICE: This platform and all associated services are intended strictly for commercial entities, enterprise purchasers, authorized distributors, system integrators, and OEM/ODM manufacturing clients. We do not provide consumer retail sales or personal household hardware. By accessing our Services, submitting Requests for Quotation (RFQs), issuing Purchase Orders (POs), or engaging in business transactions with Harvilon, your enterprise ("Client", "Buyer", or "You") agrees to be legally bound by these Terms of Service, our B2B Privacy Policy, and our Limited Lifetime Warranty, Return & RMA Policy.

SECTION 1 - COMMERCIAL ELIGIBILITY & CORPORATE AUTHORITY

By using this platform or executing orders, you represent and warrant that:

  • You are acting solely on behalf of a duly organized, validly existing corporate entity or commercial enterprise with full legal authority to enter into binding commercial contracts.
  • Any corporate registration data, tax/VAT/EORI identification numbers, billing entities, and trade information provided are true, accurate, and up-to-date.
  • You maintain sole responsibility for safeguarding access credentials assigned to your enterprise portal or procurement team. Any commercial transaction authorized under your account credentials shall be treated as an enforceable corporate commitment.

SECTION 2 - PRODUCT SPECIFICATIONS, OEM/ODM & PROTOTYPES

We make every reasonable effort to display accurate technical specifications, frequency band configurations, cellular modem parameters, interface blueprints, and industrial casing dimensions across our digital catalog.

  • Technical Tolerances: Variations in electronic component packaging, antenna gain, transmission range, and firmware interfaces may occur due to continuous engineering improvements, supply chain component alternatives, or environmental operational variables.
  • Engineering Samples: Evaluation samples are supplied strictly for functional testing, band verification, and pre-production technical assessment. Approval of prototypes constitutes technical baseline confirmation for ensuing mass production runs.
  • OEM/ODM Customization: Hardware modifications, tailored firmware builds, proprietary IMEI/MAC allocations, and custom silk-screen branding must be signed off via a formal Technical Specification Agreement (TSA) or confirmed Engineering Change Order (ECO).

SECTION 3 - ORDERS, FORMAL ACCEPTANCE & PRODUCTION

Any inquiry, online submission, or electronic order request placed through this platform constitutes a commercial invitation to treat or offer to buy, not an automatic contract.

  • Contract Formation: A legally binding production and supply contract is established only when Harvilon formally issues a written Proforma Invoice (PI) or Sales Confirmation, and the designated initial deposit or payment confirmation is received.
  • Order Revocation: Once mass production, component booking, or PCB assembly has been initiated for a confirmed order, the order cannot be unilaterally canceled, altered, or postponed without prior written consent and compensation for raw materials and engineering costs incurred.
  • Commercial Resale & Export: Hardware procured from Harvilon is intended for commercial resale, system integration, value-added distribution, or enterprise project deployments, subject to global export compliance laws.

SECTION 4 - COMMERCIAL PRICING, INVOICING & PAYMENT TERMS

All catalog prices, bulk volume tiers, and system quotations are subject to revision without prior notice based on raw material fluctuations (such as baseband chipsets, memory modules, and PCB materials), international currency variations, or logistical changes.

  • Taxes & Incoterms Exclusions: Unless expressly stipulated in writing on a formal Proforma Invoice, posted prices do not include destination import duties, VAT/GST, harbor handling charges, terminal clearance, or domestic transport fees.
  • Commercial Settlement Methods: Payment shall be made via Telegraphic Transfer (T/T wire transfer), commercial Letter of Credit (L/C), or approved secure B2B gateway channels according to agreed contract terms. Sample fees processed via digital payment gateways must be authorized by authorized corporate cardholders.
  • Late Settlement: Failure to remit scheduled milestone or balance payments within contractually stipulated deadlines may result in production suspension, shipment holds, and reasonable demurrage/storage charges at the buyer's expense.

SECTION 5 - LOGISTICS, INCOTERMS & RISK OF LOSS

Unless explicitly defined otherwise in the formal Proforma Invoice, all international shipments are quoted on an EXW (Ex Works, Shenzhen) or FOB (Free on Board, Shenzhen/Hong Kong) basis in accordance with Incoterms® 2020.

  • Delivery Timelines: Production lead times and dispatch dates provided are commercial estimates based on current factory capacity and component procurement schedules. Harvilon shall not be liable for delivery delays arising from international freight congestion, customs clearance holds, carrier transshipment delays, or global supply chain bottlenecks.
  • Transfer of Title & Risk: Risk of loss, cargo damage, and title pass to the Buyer upon transfer of the goods to the designated freight forwarder, carrier, or shipping agent at our factory dock or departure port. The Buyer is responsible for securing adequate marine/cargo transit insurance.

SECTION 6 - INTELLECTUAL PROPERTY & PROPRIETARY RIGHTS

All software, base firmware, industrial housing designs, CAD blueprints, schematics, digital artwork, and marketing collateral displayed across our Services remain the exclusive intellectual property of Harvilon, its manufacturing affiliates, or its core chipset licensors.

  • Client Marks: In OEM/ODM engagements, the Client warrants that all trademarks, brand names, and logo files provided for silkscreen printing or packaging customisation are owned by or properly licensed to the Client, and do not infringe on any third-party intellectual property.
  • Firmware Restrictions: The Client shall not reverse-engineer, decompile, disassemble, or extract proprietary baseband code or embedded networking firmware provided with Harvilon hardware, except to the extent permitted by mandatory statutory open-source license terms.

SECTION 7 - OPTIONAL THIRD-PARTY TOOLS & PLATFORM INTEGRATIONS

We may provide access to external tools, such as freight calculation calculators, logistics tracking portals, currency converters, or digital messaging APIs. Such third-party tools are provided on an "as is" and "as available" basis without warranty of any kind. Harvilon accepts no legal liability arising from or relating to your use or reliance on such third-party services.

SECTION 8 - THIRD-PARTY COMMERCIAL LINKS

Certain materials, reference databases, or carrier certifications accessible through our Services may contain hyperlinks to third-party telecommunications bodies or external sites. Harvilon does not control, endorse, or assume legal liability for the content, technical accuracy, or compliance of third-party domains.

SECTION 9 - SHOPIFY HOSTING INFRASTRUCTURE

Harvilon’s online portal and digital catalog are powered and hosted by Shopify Inc., which furnishes the digital interface. However, all commercial contracts, production commitments, quotations, and product warranties are executed directly and solely between your enterprise and Harvilon. You acknowledge that Shopify is an independent technology infrastructure provider and has no liability or responsibility for manufacturing warranties, product quality, or commercial supply performance.

SECTION 10 - DATA PROTECTION & CONFIDENTIALITY

All commercial corporate records and representative contact data are governed by our B2B Privacy Policy. Both parties agree that any non-public technical specifications, engineering schematics, bill of materials (BOM), pricing tier agreements, and customized firmware builds shared during commercial interactions shall be treated as confidential business information and not disclosed to competitors without prior written authorization.

SECTION 11 - COMMERCIAL FEEDBACK & SUBMISSIONS

If you transmit technical suggestions, device modification concepts, or feature proposals regarding our hardware designs ("Feedback"), you grant Harvilon a perpetual, irrevocable, worldwide license to incorporate such technical modifications into future hardware iterations without royalty or compensation obligations, provided such implementation does not infringe upon registered utility patents held by your enterprise.

SECTION 12 - CATALOG ERRORS & SPECIFICATION ADJUSTMENTS

Occasional technical or typographical errors relating to frequency band tables, theoretical network speeds, interface configurations, or pricing tiers may occur. Harvilon reserves the right to correct any technical discrepancies and revise Proforma Invoices before final contract execution if published information is found to contain clerical errors.

SECTION 13 - RESTRICTED USES & SANCTIONS COMPLIANCE

Clients agree to utilize our hardware, firmware, and digital platform strictly for lawful commercial purposes. You expressly represent and warrant that:

  • Purchased networking equipment shall not be diverted, transshipped, re-exported, or deployed in violation of United Nations, European Union, United States, or Chinese export control regulations and sanctions lists.
  • Hardware shall not be intentionally deployed in critical infrastructure systems where equipment failure could directly result in death, severe personal injury, or catastrophic environmental damage, unless specifically contracted with certified failsafe redundancies.
  • You will not deploy unauthorized scraping robots, automated extraction tools, or penetration testing exploits against our platform infrastructure.

SECTION 14 - LIMITED LIFETIME WARRANTY & RMA

All hardware sold is covered exclusively by our published Limited Lifetime Hardware Warranty and Return Merchandise Authorization (RMA) Policy. The remedies set forth in our Warranty Policy (repair, replacement, or commercial credit notes) constitute the Buyer's sole and exclusive remedies for any hardware defects or non-conformance.

SECTION 15 - INDEPENDENT CONTRACTOR RELATIONSHIP

Nothing in these Terms shall be construed as creating a joint venture, partnership, agency, or franchise relationship between Harvilon and any Client. Neither party has the legal authority to bind the other or assume obligations on the other’s behalf without express written authorization.

SECTION 16 - FORCE MAJEURE

Harvilon shall not be deemed in default or held liable for manufacturing halts, component shortages, or delivery delays resulting from events beyond our reasonable control, including but not limited to: acts of God, semiconductor supply crises, factory power disruptions, industrial labor actions, embargoes, export license rejections, epidemics, border customs blockades, armed conflicts, or severe maritime freight disruptions.

SECTION 17 - DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

EXCEPT AS EXPRESSLY SET FORTH IN OUR WRITTEN LIMITED LIFETIME WARRANTY POLICY, HARVILON DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A SPECIFIC COMMERCIAL APPLICATION, NON-INTERFERENCE, OR ACCURACY OF CELLULAR NETWORK COVERAGE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE COMMERCIAL LAW, UNDER NO CIRCUMSTANCES SHALL HARVILON, ITS DIRECTORS, ENGINEERS, MANUFACTURING AFFILIATES, OR SUBSIDIARIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL COMMERCIAL LOSSES, INCLUDING LOSS OF PROJECT PROFITS, OPERATIONAL DOWNTIME, LOSS OF NETWORK DATA, REPUTATIONAL DAMAGE, OR THIRD-PARTY CLAIMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ALL CIRCUMSTANCES, HARVILON'S AGGREGATE FINANCIAL LIABILITY ARISING OUT OF ANY TRANSACTION SHALL NOT EXCEED THE TOTAL PURCHASE VALUE ACTUALLY RECEIVED BY HARVILON FOR THE SPECIFIC SHIPMENT GIVING RISE TO THE CLAIM.

SECTION 18 - INDEMNIFICATION

The Client agrees to defend, indemnify, and hold harmless Harvilon, its directors, officers, employees, and manufacturing partners from and against any third-party claims, liabilities, losses, damages, and legal expenses arising out of: (i) Client's commercial use, integration, or marketing of the hardware; (ii) any infringement of intellectual property resulting from designs, trademarks, or software provided by the Client for OEM/ODM customization; or (iii) any breach by the Client of global export control laws.

SECTION 19 - SEVERABILITY & WAIVER

If any provision of these Terms is found to be invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, the remaining terms shall remain fully effective and enforceable. Our failure to enforce strict compliance with any provision of these Terms does not constitute a waiver of that right or future rights.

SECTION 20 - GOVERNING LAW & DISPUTE RESOLUTION

These Terms, underlying Proforma Invoices, and all commercial sales contracts shall be governed by and construed in accordance with the laws of the People's Republic of China, without giving effect to conflicts of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

Any dispute, controversy, or claim arising out of or relating to commercial transactions with Harvilon that cannot be resolved amicably within thirty (30) days shall be submitted to the Shenzhen Court of International Arbitration (SCIA) for arbitration in Shenzhen in accordance with its prevailing arbitration rules. The arbitration award shall be final and binding upon both parties.

SECTION 21 - AMENDMENTS

We reserve the right to update or amend these commercial terms to align with manufacturing updates, regulatory shifts, or trade changes. Any revision becomes effective immediately upon publication on this portal. Your enterprise's continuing submission of inquiries, orders, or contract renewals demonstrates acceptance of updated terms.
